1. Agreement to Terms

These Terms & Conditions (“Agreement”) constitute a legally binding contract between the Client (“you” or “your”) and the Company. By engaging the Company’s services, submitting an application, or entering into any placement arrangement facilitated by the Company, you acknowledge and agree to be bound by this Agreement in its entirety.

2. Scope of Services

2.1 The Company provides matchmaking services designed to connect prospective owners with companion animals (“Pets”) sourced from breeders, shelters, rescues, or third-party individuals (“Sources”).

2.2 The Company does not, unless expressly stated in writing, own, breed, or house any Pets directly.

2.3 The Company’s role is strictly limited to facilitation and introduction. We do not guarantee the outcome of any placement, nor the continued availability of any specific Pet.

3. Representations and Warranties of the Client

The Client expressly represents, warrants, and agrees that:

a. You are at least eighteen (18) years of age and legally competent to enter into this Agreement.

b. All information provided in your application, profile, or correspondence is accurate, complete, and not misleading.

c. You have secured the necessary housing, financial resources, and lifestyle stability required to responsibly own and care for a Pet.

d. You will comply with all federal, state, and local laws, ordinances, and regulations regarding Pet ownership.

4. Disclaimers and Limitations of Liability

4.1 The Company makes no representations or warranties, express or implied, regarding:

    •    The health, breed, temperament, behavior, age, lineage, or suitability of any Pet.

    •    The accuracy of information provided by Sources.

4.2 All risks associated with ownership of a Pet, including but not limited to veterinary expenses, behavioral issues, injury, or property damage, are assumed solely by the Client upon placement.

4.3 To the maximum extent permitted by law, the Company shall not be held liable for any claims, damages, costs, expenses, losses, or liabilities, whether direct, indirect, incidental, consequential, or punitive, arising from or relating to:

    •    The adoption, purchase, care, or ownership of a Pet;

    •    Any actions or omissions of a Source; or

    •    The Client’s use of the Company’s services.

5. Fees and Payment Terms

5.1 All fees, including but not limited to application fees, matchmaking fees, adoption fees, or service fees, are due in accordance with the Company’s published fee schedule or as otherwise agreed in writing.

5.2 Unless expressly stated, all fees are non-refundable.

5.3 The Client is solely responsible for all ancillary expenses, including veterinary care, licensing, transportation, training, or insurance.

6.2 In the event that the Client is unable or unwilling to retain ownership, the Client must immediately notify the Company. The Company, at its sole discretion, may facilitate rehoming, subject to capacity and availability but does not guarantee acceptance.

6.1 The Company is under no obligation to accept the return of any Pet once placed.

6.2 In the event that the Client is unable or unwilling to retain ownership, the Client must immediately notify the Company. The Company, at its sole discretion, may facilitate rehoming subject to capacity and availability but does not guarantee acceptance.

6.3 The Company reserves the right to terminate this Agreement and refuse services at any time if the Client is found to have provided false information, engaged in misconduct, or otherwise demonstrated unsuitability for Pet ownership.

7. Indemnification

The Client agrees to indemnify, defend, and hold harmless the Company, its officers, employees, agents, affiliates, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

a. The Client’s breach of this Agreement;

b. The Client’s ownership, custody, or care of a Pet; or

c. Any third-party claims related to the Pet after placement.

8. Privacy and Data Use

The Company may collect, store, and process Client information solely for the purposes of providing matchmaking services. The Company shall maintain commercially reasonable safeguards to protect Client data. The Client acknowledges and consents to such use in accordance with the Company’s Privacy Policy [insert link].

9. Governing Law and Jurisdiction

This Agreement shall be governed by, and construed in accordance with, the laws of the State of [Insert State], without regard to conflict of law principles. The Client agrees that any legal action or proceeding shall be brought exclusively in the courts of [Insert County/State], and hereby consents to personal jurisdiction therein.

10. Amendments

The Company reserves the right to amend, modify, or replace these Terms & Conditions at any time. Continued use of the Company’s services following any such modification constitutes acceptance of the revised Terms & Conditions.

11. Entire Agreement

This Agreement constitutes the entire understanding between the Parties with respect to the subject matter herein and supersedes all prior negotiations, communications, and agreements, whether written or oral.
